SoftwareOne acquires 90 per cent stake in Crayon Group

Stans/Oslo - SoftwareOne acquired approximately 90 per cent of the Norwegian Crayon Group’s share capital at the end of the offer period, with the remaining shares to be acquired through a compulsory acquisition. This is according to preliminary results. The combined cloud solutions provider is locating its future headquarters in Stans in the Swiss canton of Nidwalden.

As of the end of the offer period on 6 May, SoftwareOne Holding AG controls around 90 per cent of the shares in the internationally active Crayon Group, which is based in Oslo, announced SoftwareOne. This is according to preliminary results. The globally active Nidwalden-based provider of cloud solutions had submitted a voluntary share and cash offer for all outstanding shares in Crayon to the Norwegian company, which operates in the same sector, at the beginning of the year. SoftwareOne intends to acquire the remaining shares, to date not acquired, through compulsory acquisition.

“Reaching 90 per cent is a strong and unambiguous vote of confidence in the future we are shaping for the combined company," SoftwareOne CEO Raphael Erb is quoted as saying. "With this clear mandate from shareholders, we are well positioned to finalize the transaction." Completion of the offer, which is expected in June, remains subject to certain closing conditions, including outstanding regulatory approvals.

“We’re pleased with the support shown by our shareholders and the alignment it reflects," added Crayon CEO Melissa Mulholland. "As we take this next step, our key priority will be combining our strengths to accelerate innovation, deliver value, and create new opportunities for our people and customers.” Upon completion of the merger, the combined company will be headquartered in Stans.
