Stans, 6 January 2025, Café Europe. Nachrichtenagentur AG
Stans/Oslo - SoftwareOne has submitted a stock and cash offer to the shareholders of the Crayon Group. The merged company for cloud solutions will be headquartered in Stans, with the workforce of around 13,000 employees in more than 70 countries generating sales of 1.6 billion Swiss francs.
SoftwareOne and Crayon are to merge. To this end, the company based in the canton of Nidwalden, Switzerland, has presented a voluntary stock and cash offer, which has been recommended to be accepted, to the shareholders of the Crayon Group from Oslo in an effort to acquire all outstanding Crayon shares. The transaction is expected to be closed in the third quarter of 2025. Both CEOs will jointly lead the newly merged company.
As detailed in a press release issued by SoftwareOne, with sales of approximately 1.6 billion Swiss francs, a presence in more than 70 countries around the world and roughly 13,000 employees, the combined company will be “excellently positioned as a preferred partner to both customers and vendors globally, driving additional growth and significant value creation for shareholders”. SoftwareOne cites its expectation that earnings per share could rise by around 25 percent by 2026.
Through this merger, SoftwareOne and Crayon intend to create a larger marketplace for their software and cloud solutions with complementary geographical focal points, customer groups and offerings. In this context, the new company, which is to be headquartered in Stans in the canton of Nidwalden, will seek to exploit megatrends such as public cloud adoption and increased focus on managing cloud spend, data & AI and security”, in addition to targeting growth in the mid-double-digit area.
For Crayon CEO Rune Syversen, the takeover will lead to the creation of “an even stronger global player”. This view is shared by SoftwareOne CEO Raphael Erb: “Together with Crayon, we will have a broad global presence with extensive local reach, strong hyperscaler partnerships, including with Microsoft, and enhanced service offerings to meet customer needs”. ce/mm
